1. Acceptance of Terms

By accessing or using the Zowda website, mobile application, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Zowda, Inc. (“Zowda,” “we,” “us,” or “our”).

2. Description of Service

Zowda is a personal finance platform that provides budgeting tools, an AI-powered financial assistant, and spending insights. The Service may allow you to link external financial accounts through third-party data aggregation providers to import transaction and balance information. Zowda is a financial organization tool and does not provide financial advice, investment recommendations, tax guidance, or credit repair services. You should consult a qualified financial professional before making financial decisions.

3. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an account and use the Service. By registering, you represent and warrant that you meet these eligibility requirements and that the information you provide is accurate and complete.

4. Account Registration and Security

To use the Service, you must create an account by providing a valid email address and authenticating through one of our supported sign-in methods. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@zowda.com if you become aware of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

5. Subscription and Billing

Zowda offers a paid subscription plan (“Zowda Pro”). By subscribing, you authorize us to charge your chosen payment method on a recurring monthly basis at the then-current subscription rate. All fees are quoted in U.S. dollars.

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date.

We reserve the right to change subscription pricing with at least 30 days’ notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new price. Payments are processed by our third-party payment processor and are subject to their terms and conditions.

6. Linked Financial Accounts

The Service may allow you to link bank accounts, credit cards, loans, and other financial accounts through third-party data aggregation providers. By linking an account, you authorize the applicable third-party provider to access your financial institution on your behalf to retrieve account, balance, and transaction data.

Zowda does not store your financial institution login credentials. The accuracy, completeness, and timeliness of linked account data depend on your financial institution and our third-party data providers. We are not responsible for errors, delays, or omissions in data provided by third parties.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.
  • Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
  • Use any automated means, including bots, scrapers, or crawlers, to access the Service or extract data.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Use the Service to transmit malware, viruses, or other harmful code.

8. Intellectual Property

The Service, including all content, features, functionality, software, text, graphics, logos, and trademarks, is owned by Zowda or its licensors and is protected by United States and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written consent.

9. User Data

You retain ownership of any data you input into the Service, including budgets, goals, categories, and notes (“User Data”). By using the Service, you grant us a limited license to use, process, and store your User Data solely for the purpose of providing and improving the Service. You may request export or deletion of your User Data at any time by contacting us at privacy@zowda.com , subject to our data retention practices described in our Privacy Policy .

10. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We make no guarantees about the accuracy of financial data retrieved from linked accounts or displayed within the Service. Zowda does not provide financial, investment, tax, or legal advice, and nothing in the Service should be construed as such.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Zowda, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your access to or use of (or inability to access or use) the Service, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages. Our total aggregate liability for all claims arising out of or relating to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Zowda and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

You may terminate your account at any time by contacting us at support@zowda.com or through your account settings. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the “Last updated” date above. We may also send you a notification through the Service or by email. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy , constitute the entire agreement between you and Zowda with respect to the Service and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and Zowda regarding the Service.
